Mutual Non-Disclosure Agreement (NDA)

This Mutual Non-Disclosure Agreement ("Agreement") is made and entered into as of [4/12/2025], by and between:

Disclosing Party: Jose Caudillo ("Developer")

Collectively referred to as "the Parties".

1. Purpose

The Parties wish to explore a potential business relationship related to a project known as "Senior Constellation". In connection with this, certain proprietary and confidential information may be shared, including but not limited to: designs, demos, codebases, audio-visual recordings, project architecture, written materials, and system functionality (the "Confidential Information").

2. Confidentiality Obligations

The Receiving Party agrees to:

  • Keep all Confidential Information strictly confidential.
  • Not disclose any Confidential Information to any third party without written consent from the Disclosing Party.
  • Not use the Confidential Information for any purpose other than evaluating the potential collaboration.
  • Take reasonable steps to protect the confidentiality of the information.

3. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of this Agreement.
  • Was known to the Receiving Party prior to disclosure.
  • Is received lawfully from another source without breach.

4. Ownership

All Confidential Information remains the sole and exclusive property of the Disclosing Party. Nothing in this Agreement shall be construed as granting any rights (by license or otherwise) to the Receiving Party.

5. Duration

This Agreement and its obligations remain in effect for 2 years from the date of disclosure.

6. No Obligation

Nothing in this Agreement obligates either party to proceed with any proposed business relationship or to make any disclosures.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

8. Signatures

By continuing beyond this point and accessing the demo or related materials, the Receiving Party agrees to the terms set forth in this Agreement.
